Terms of Service (draft)

The agreement between your organisation and CCSIT for using Compass.

1. Parties and acceptance

These Terms govern access to and use of the Compass platform (the "Service") provided by Continuum Consulting Services ("CCSIT", "we") to the organisation that creates a workspace or on whose behalf an invitation is accepted ("Customer", "you"). The person accepting confirms they are authorised to bind the Customer.

An order form, quotation or online plan selection that references these Terms forms part of the agreement. If they conflict, the order form prevails, then the Data Processing Agreement, then these Terms.

2. The Service

Compass is a portfolio, program and project management platform with AI-assisted planning, monitoring and reporting. Features available to you depend on your plan. We may improve and change the Service; we will not materially reduce the core functionality of a paid plan during a paid term.

3. Free trial

New workspaces receive a 30-day free trial of the Professional plan for up to 15 users, without a payment card. At the end of the trial the workspace becomes read-only unless a plan is purchased. Your data remains available for export during the read-only period of [●] days, after which it is deleted as described in section 10.

4. Accounts and security

You are responsible for the people you invite, the roles you give them, and for keeping credentials confidential. Workspace administrators must enable two-step verification where the Service requires it. Notify us without delay at security@ccsit.co of any suspected unauthorised access.

5. Customer Data

You own all content you or your users submit ("Customer Data"). You grant CCSIT a limited licence to host, process, transmit and display Customer Data only to provide, secure and support the Service and as described in the Data Processing Agreement.

You are responsible for having the rights and lawful bases needed to put Customer Data into the Service, including personal data of your clients and staff.

6. AI features

AI agents analyse Customer Data to propose plans, risks, reports and changes. Changes proposed by AI are applied only after a person in your organisation approves them. AI output can be incomplete or wrong; you remain responsible for decisions taken on it.

When live AI is enabled, relevant Customer Data is sent to the AI model provider listed in the Subprocessors page, under terms that prohibit training on your data. You can keep AI processing on the built-in engine only by choosing the corresponding setting or plan.

7. Fees, seats and AI credits

Fees are per paid seat per month or year as shown on your order or plan page. Viewers, executives and client guests are free seats. AI credits included in a plan reset monthly and do not carry over; additional credit packs can be purchased.

Fees are exclusive of taxes. Invoices are due within [●] days. We may suspend paid features (making the workspace read-only) if an invoice is more than [●] days overdue after written notice.

8. Acceptable use

You will comply with the Acceptable Use Policy. We may suspend access that threatens the security or integrity of the Service or breaches the law, limited to what is necessary, and we will tell you promptly.

9. Availability and support

Service levels and support response times are set out in the SLA & Support page for your plan.

10. Term, termination and data return

Subscriptions renew for the same period unless cancelled before the renewal date. Either party may terminate for material breach not cured within 30 days of notice.

After the subscription ends, the workspace is read-only for [●] days so you can export all Customer Data (Settings → Workspace → Your data). We then delete Customer Data from production systems within 30 days and from backups within the backup retention period of [●] days, unless law requires us to keep it.

11. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform this agreement.

12. Warranties and disclaimers

We warrant that the Service will perform materially as described in its documentation. Except as stated, the Service is provided "as is" to the extent permitted by law.

13. Liability

Neither party is liable for indirect or consequential losses or loss of profits. Each party's total liability in any 12 months is limited to the fees paid or payable by the Customer in that period [●], except for breach of confidentiality, the Customer's payment obligations, and liability that cannot be limited by law.

14. Governing law and disputes

These Terms are governed by the laws of [● Arab Republic of Egypt / the Customer's country for sovereign deployments]. Disputes are settled by [● the competent courts of Cairo / arbitration under the CRCICA rules], after 30 days of good-faith negotiation.

15. Changes

We may update these Terms with at least 30 days' notice to workspace administrators for material changes. Continued use after the effective date means acceptance.
